1. Overview and who we are

This website is operated by Brakespeed, a brand of Meteor Morph LLC (operating as Brakespeed), a Wyoming limited liability company with its mailing address at 30 N Gould St Ste R, Sheridan, WY 82801, United States (collectively, "Brakespeed", "we", "us", or "our"). This is a mailing address only and is not a retail store location or customer service walk-in office. These Terms of Service (the "Terms") govern your use of this website (the "Site") and your purchase of products or services through the Site.

By accessing or using the Site, creating an account, or placing an order, you agree to be bound by these Terms, together with our Privacy Policy, Shipping Policy, and Return and Refund Policy. If you do not agree, you should not use the Site or place orders.

Nothing in these Terms is intended to limit any non waivable rights or protections you may have under the consumer protection laws of your state or country of residence.

2. Eligibility and your account

• You must be at least 18 years old, or the age of majority in your state, to purchase through the Site.
• You agree to provide accurate, current, and complete information when creating an account or placing an order, and to update your information as needed so that we can contact you about your orders.
• You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
• We may refuse service, terminate accounts, or cancel orders if we believe you have violated these Terms, provided false information, or engaged in fraudulent or abusive behavior.

3. Product information, fitment and installation

We sell automotive parts, accessories, and related products, including performance and motorsport components. We work with wholesale distributors and manufacturers to provide data about part numbers, fitment, and specifications. While we try to keep information accurate and up to date, mistakes or incomplete data can occur.

• Fitment information, including year, make, model, engine and sub model, is provided as a guide and may not cover every configuration, modification, or regional variation.
• You are responsible for confirming correct fitment and compatibility for your specific vehicle before installation. When you are unsure, you should consult a qualified professional or the manufacturer.
• Many products, especially brake components, suspension, steering, safety equipment, and electronics, should be installed by a qualified professional mechanic or technician. Incorrect installation can result in vehicle damage, loss of control, injury, or death.
• You are responsible for following all manufacturer instructions, including torque settings, bedding procedures, and maintenance intervals.

Brakespeed is not responsible for damage, injury, or loss resulting from incorrect part selection, incorrect fitment, improper installation, misuse, racing or off road use, or failure to follow manufacturer instructions.

4. Pricing, taxes and payment

• All prices on the Site are listed in U.S. Dollars (USD) unless stated otherwise.
• We may change prices, promotions, or discounts at any time. Changes will not affect orders that have already been accepted and confirmed.
• Applicable sales tax will be calculated based on the shipping address and current tax rules. You are responsible for any taxes that apply to your order.
• We accept payment methods offered at checkout, which may include major credit and debit cards and other methods provided through the Shopify platform. By submitting payment information, you represent and warrant that you are authorized to use the selected payment method.

5. Orders, acceptance and cancellation

• When you submit an order, you are making an offer to purchase the products in the order. We may accept or decline your order at our discretion.
• Order acceptance occurs when we send an order confirmation email or when your order ships, whichever happens first.
• We may cancel or refuse any order, in whole or in part, for reasons that may include product availability, suspected fraud or abuse, errors in pricing or product information, or restrictions imposed by manufacturers or distributors.
• If your order is canceled after payment is captured, we will issue a refund to the original payment method.
• We will make reasonable efforts to accommodate cancellation or change requests before an order enters processing or shipping, but this may not be possible, especially for special order or non stock products.

6. Shipping, delivery and risk of loss

Our separate Shipping Policy describes how shipping rates are calculated, where we ship, the tiered flat rate program for ground and small parcel orders within the contiguous United States, and exclusions for certain locations and shipping methods. That policy is incorporated into these Terms by reference.

• We generally ship orders through third party warehouses and distribution partners using carriers such as UPS, FedEx, and USPS. Carrier selection may vary by product and destination.
• Flat rate shipping does not apply to Alaska or Hawaii, certain remote locations, or oversized and freight-only items. Additional charges may apply in those cases.
• Any shipping or delivery dates shown at checkout or in emails are estimates only. Actual transit times are controlled by the carrier and may be affected by factors outside our control.

Risk of loss or damage passes to you when the carrier takes possession of the shipment, subject to our policies on lost, damaged, or missing items in our Shipping Policy and Return and Refund Policy.

7. Returns, refunds and exchanges

Returns, refunds and exchanges are governed by our separate Return and Refund Policy. In summary, and without replacing that policy:

• Most new, unused items in original packaging may be eligible for return within ninety (90) days of delivery, subject to inspection and the conditions described in the Return and Refund Policy.
• Certain items, including special order, non stock, custom built products, electrical items, opened fluids, mounted wheels or tires, and some safety products, may not be returnable except for valid warranty issues, where permitted by the manufacturer.
• For buyer remorse or ordering errors, you are generally responsible for return shipping. Supplier restocking fees may apply in some cases. We will disclose any such fees before you decide whether to proceed with a return.
• Issues that arise after installation are usually handled as warranty claims through the manufacturer or distributor, rather than as standard returns.

8. Manufacturer warranties, our warranties and federal law

• Many products are covered by a written manufacturer warranty. Any such warranty is provided by the manufacturer, not by Brakespeed. The manufacturer determines the scope of coverage and the remedy, such as repair or replacement.
• We will assist you in starting a warranty claim where possible, but the final decision on approval or denial of a claim is made by the manufacturer or distributor.
• Warranties rarely cover labor, installation, removal, diagnostics, alignment, fluids, rental vehicles, or other indirect costs, unless the manufacturer expressly states otherwise.
• If we ever provide our own written warranty on a specific product, the terms of that written warranty will govern that product. To the extent required by federal law, including the Magnuson Moss Warranty Act, we will not disclaim implied warranties in a way that is inconsistent with any written warranty we provide on a consumer product.

Except where prohibited by law, the Site and all products and services are provided on an "as is" and "as available" basis, without any additional warranties from Brakespeed beyond those expressly stated in writing. To the maximum extent permitted by applicable law, we disclaim all implied warranties, including implied warranties of merchantability, fitness for a particular purpose, and non infringement.

Some states do not allow limitations on the duration of implied warranties. In those states, any limitations in this section apply only to the extent permitted by the laws of that state and do not affect any rights you may have that cannot be limited by contract.

9. Motorsport, off road and emissions related products

Some products sold through the Site are intended for competition, track use, off road use, or race only vehicles and may not be legal for use on public roads or on emissions controlled vehicles.

• It is your responsibility to understand and comply with all applicable local, state, and federal laws and regulations regarding vehicle modifications, noise, emissions, and safety equipment.
• Products marked or described as "off road use only", "race only", or similar may not be installed on vehicles that are driven on public highways or subject to emissions inspection, unless permitted by law in your state.
• Certain states, such as California, have particularly strict rules regarding aftermarket performance parts and emissions devices. You must check the rules that apply in your state before purchasing or installing these products.
• Brakespeed does not promise or guarantee that any product is street legal in your jurisdiction or that it will pass any technical inspection or emissions test.

By purchasing any competition, race only, or off road product, you accept full responsibility for its use and for ensuring compliance with all laws that apply to you.

10. Limitation of liability

To the maximum extent permitted by applicable law, Brakespeed, Meteor Morph LLC (operating as Brakespeed), our owners, officers, employees, agents, and affiliates will not be liable for:

• Any indirect, incidental, consequential, special, exemplary, or punitive damages; or
• Any loss of profits, revenue, data, goodwill, or business opportunities,

arising out of or in connection with your use of the Site, your purchase or use of any products, or these Terms, even if we have been advised of the possibility of such damages.

In all cases, and to the extent permitted by law, our total liability for any claim related to a purchase will not exceed the amount you actually paid for the specific product or products that gave rise to the claim.

Some states do not allow the exclusion or limitation of certain damages or the limitation of liability for incidental or consequential damages. In those states, the limitations in this section apply only to the extent permitted by the laws of that state and do not affect any rights that cannot be limited by contract.

11. Third party services, Shopify and distribution partners

The Site is hosted on the Shopify e commerce platform, which provides the online store infrastructure, payment processing integrations, and certain security and fraud tools.

• Your use of payment methods and services such as Shop Pay, PayPal, Google Pay, Apple Pay or similar is also governed by the terms and policies of those third party providers.
• We fulfill orders through one or more third party warehouses, distributors and manufacturers. Inventory, packing, shipping labels and tracking updates may be handled by these partners.

While we choose partners carefully, Brakespeed is not responsible for the independent acts or omissions of third party service providers. We will, however, work in good faith with them to help resolve issues that affect your order where reasonably possible.

12. Intellectual property

All content on the Site, including text, product data, graphics, logos, icons, images, and page layouts, is owned by Brakespeed, Meteor Morph LLC (operating as Brakespeed), our content providers or our partners, and is protected by copyright, trademark and other intellectual property laws.

• You may view and print content for your personal, non commercial use only. You may not reproduce, distribute, modify, publicly display, or create derivative works from our content without our prior written consent.
• Third party trademarks, brand names and logos appearing on the Site remain the property of their respective owners and are used for identification only.

13. Prohibited uses of the Site

You agree not to use the Site or its content for any unlawful or prohibited purpose, including but not limited to:

• Engaging in fraud, identity theft, chargeback abuse, or false warranty or return claims.
• Interfering with or attempting to bypass the security, performance or proper functioning of the Site, Shopify or any associated systems.
• Using automated tools to scrape, harvest or collect data from the Site without our express written permission.
• Uploading or transmitting viruses, malware, harmful code, or unsolicited commercial messages.
• Impersonating any person or entity, or misrepresenting your affiliation with a person or entity.

14. Privacy and your personal information

Our collection, use, and protection of your personal information are described in our Privacy Policy, which is incorporated by reference into these Terms. By using the Site or placing an order, you consent to our handling of your personal data as described in that policy.

15. State specific rights and non waivable protections

Different U.S. states provide consumers with different rights and protections. Certain disclaimers, exclusions or limitations in these Terms may not apply to you if the laws of your state do not allow them.

• Nothing in these Terms is intended to limit any rights you have that cannot be waived under applicable consumer protection laws, including laws in the state where you live.
• If any provision of these Terms is found to be invalid or unenforceable in a particular state or jurisdiction, that provision will be enforced only to the extent allowed, and the remaining provisions will remain in full force and effect.

16. Changes to the Site, products and these Terms

• We may change or discontinue any part of the Site, any product, or any service at any time, including prices, inventory, and features.
• We may update these Terms from time to time. When we do, the "Last updated" date at the top of this page will be revised. The updated Terms will apply to your use of the Site from the date they are posted.

Your continued use of the Site after any changes to these Terms constitutes your acceptance of the updated Terms.

17. Governing law and dispute resolution

Except where prohibited by applicable consumer protection law, these Terms and any disputes arising out of or relating to your use of the Site or purchase of products are governed by the laws of the State of Wyoming, without regard to its conflict of law principles.

If you are a consumer and the laws of the state where you live provide you with mandatory protections or rights that would apply to you despite a choice of law clause, those protections and rights will remain in place and will not be limited by this section.

You agree that, subject to any rights you may have under mandatory law, any legal action or proceeding relating to these Terms or your use of the Site will be brought in the state or federal courts located in the State of Wyoming, and you consent to the jurisdiction of those courts.
